Can A Public Company Issue Shares And Carry Out Trading Without Issuing A Prospectus?

    Basically a Prospectus is a legal document that describes the securities which are offered to the the participants by businesses.  Either a Public company can carry out trading without issuing a prospectus or not depends on the laws of State. In the UK laws, the prospectus have to be approved by the competent authority in the United Kingdom. Nowadays, this authority is known as Financial services authority and therefore, without issuing a prospectus a company cannot carry out trading.

    According to UK Laws, when certain types of securities are offered to public in a regulated market, then a prospectus must be published.

    The same laws are applied in US as well!
