What Is The Procedure Of Altering The Articles Of Association?

Any company has the authority to alter the Articles of Association according to the Pakistan Company Law.  This could be accomplished by passing a Special Resolution through the aegis of deduction, addition or substitution in the Articles.  Moreover the Pakistan Company Law also empowers the alteration of the Articles of Association without even seeking the formal permission of the Court.  The areas in which the Articles of Association could be altered is the constitution of the company as well as the rights of the shareholders.  Both of these areas could be conveniently altered without referring to the Court for approval.  An alteration is even permitted to a company when it is involving a breach of contract with an outsider who is not connected with the company.  The injured party can consequently take an action for the damages caused as a result.  Nevertheless despite giving permission for a breach of contract, the very alteration in the Articles of Association could not justify the breach of contract.
