    A conflict of interest is a circumstance in which one who takes a place of trust or credibility, like a lawyer or an executive officer of an organisation has opposite professional or personal interests. In this scenario, it becomes extremely tough to perform one's duties in an impartial or unbiased manner. Although there can be no concrete proof of such inappropriate actions, a conflict of appearance can generate a façade  of unseemliness which may destabilize confidence or trust in the capability of that individual to use his or her position of authority in an ethical manner.

    In legal terms, the obligation of allegiance to one's client forbids an attorney from representing any other client who has interests which are contrary to those of an existing client.
