When you put up sheet rock you need to know exactly where the studs are in the walls. Leaving up the panelling will in the long run cause you a lot more trouble, it won't stay where you screw it in, the screws will work loose, and you will have them sticking out of your walls, not good.
Secondly, the taping, muddying and sanding that you have to do, has to be as flush and even as possible, if you want your wall to look like a wall and not a cave. Remove the panelling, not the wood studs and supports that are behind the panelling.
You can talk to the people at one of the Home centres if you need more assistance, they are there to help you. Good luck to you. (I know what you're going through, stupid husband started our bathroom in Jan, and still isn't done.)
