    Can You Explain And Illustrate That The Actions Of The Company Cannot Go Beyond The Memorandum And Inside The Memorandum The Shareholders May Make Such Regulations For Their Own Government As They Think Fit?

    Can a company take actions beyond its memorandum? I want to open a company and need to know all the things regarding this. Can shareholders go beyond the memorandum and take actions? Why or why not? I don't understand. Please help.

    Shareholder can go beyond it but his power is limited to the resolution.  However, the board of directors and the management of the company have to clearly understand the limitations of the memorandum because they are responsible in front of the shareholders.
