The foundation of value is cash payments to the
shareholder. The intended holding periods of different investors will vary
greatly. Some will hold a stock for only a few days and others might expect it
to hold it forever. Investors with holding periods shorter than infinity expect
to be able to buy the stock at a price higher then they paid for it. As buyers
they will in turn judge the stock. The terminal value will depend upon the
other investor. Thus cash distributors are all that stockholders as a whole receive
from their investments they are all company payouts. Hence the foundation for
the valuation of common stock must be dividend.
